In the case of a one-person management board, the sole member of the management board is authorized to make declarations of will and sign on behalf of the company. If the management board is a multi-member management board, in matters concerning property rights and obligations exceeding PLN 25,000 (in words: twenty-five thousand zloty), or the equivalent of this amount in a foreign currency according to the average exchange rate of the National Bank of Poland on the date of making the declaration, and, in the case of recurring performances with a total value exceeding the above amount within a period of six (6) months, joint action by two members of the management board or one member of the management board jointly with a commercial proxy is required. In all other cases, each member of the management board is authorized to make declarations of will and sign on behalf of the company.
